This position will manage all legal matters to ensure the company’s operations are compliant with local and international laws, regulations, and industry standards. This position would involve overseeing a wide range of legal functions, collaborating with various departments, and contributing to the company’s strategic decision-making.

Description

• Ensuring the company’s operations, contracts, and practices comply with Indonesian laws, regulations, and international trade laws. This includes maintaining awareness of changes in laws and regulations that may impact the company’s business
• Overseeing the drafting, review, negotiation, and execution of various contracts, including supply agreements, distribution agreements, transportation contracts, and other commercial agreements. Supervision in legal permit and license related to the industry may also rise, such as Port Operation License, Vessel Operating License, Transshipment License, Barging, Customs Excise, Environmental Permits, etc
• Identifying legal risks associated with business operations and developing strategies to mitigate them. This could involve providing legal guidance on risk assessment, insurance, and liability management
• Handling legal disputes, litigation, and arbitration proceedings. Collaborating with external legal counsel as needed to represent the company’s interests and resolve conflicts
• Interacting with relevant regulatory authorities in Indonesia, ensuring compliance with permits, licenses, environmental regulations, and other regulatory requirements specific to the logistics and transportation industry
• Advising senior management and the board of directors on corporate governance matters, including corporate structure, governance policies, and board meetings
• Providing legal support during mergers, acquisitions, joint ventures, and other strategic transactions, including due diligence and integration
• Ensuring compliance with labor and employment laws, handling employee-related legal matters, and assisting with labor negotiations if applicable.

Profile

• Bachelor of Law, with at least 10+ PQE, preferably with several years in a managerial or leadership capacity within the logistics, transportation, or related industries. PERADI Bar License holder is a plus. Pure law firm background candidates are welcomed to apply
• Proven experience with IPO process and corporate secretarial matters
• In-depth understanding of the logistics industry, supply chain operations, and relevant regulations specific to bulk transportation.
• Excellent communication and negotiation skills, with the ability to interact effectively with internal stakeholders, external partners, regulatory authorities, and legal counsel
• Excellent proficiency in English and Bahasa Indonesia. Mandarin speaking ability is a plus as role requires candidate to deal with Mandarin speaking clients
