Purpose and Scope

• This role will support the Renewable Energy (Indonesia) business by drawing on his/her knowledge of the law and legal environment of Indonesia, as well as his/her intimate knowledge and understanding of Sembcorp’s businesses, governance, policies and strategies, in order to give advice in reviewing contracts, structuring transactions, ensuring compliance within the law and Sembcorp company policies, and address any disputes which may arise with counter parties.

Key Roles and Responsibilities

• Lead and manage major investments and legal risk matters such as renewable energy projects and corporate restructuring, power purchase agreements, financing agreements for project finance, mergers & acquisitions, as well as for all contracting requirements for day to day business.
• Liaise with Business Units on governance and compliance issues under the prevailing framework and standing guidelines.
• Participate actively in front line negotiations and interface with customers, business partners, suppliers, contractors, regulators, government authorities, etc.
• Work as an integrated team with all stakeholders both internally and externally, in identifying, mitigating and managing risks on activities, businesses and projects of Sembcorp Industries.
• Review and enhance the Group’s corporate policies to minimize legal and regulatory risks.
• Understand, implement and monitor compliance with corporate policies and principles of good corporate governance.
• Provide support in managing and monitoring all material litigation / arbitration and reporting to Head of Legal & Compliance, SG&SEA Market.
• Understanding the commercial objectives, strategy, pressure points of the business, reasonable operational knowledge with a view to identifying and assessing the risks and legal issues involved, and effectively communicating this to the business unit or project team to enable them to make well-informed business decisions.
• Working with the business unit or project team to think out of the box for solutions to business matters which are win-win for Sembcorp and our customers.
• Supporting the rollout of all Compliance related policies initiated by the Group Ethics & Compliance function, and perform active monitoring of the requirements, and deliverables, including regular reporting.

Qualifications & Experience 

• Bachelor’s degree in laws. A Masters in law would be an advantage.
• At least 8 years of relevant working experience. Experience in both in-house roles and private practice would be an advantage.
• Experience working in the energy (including renewables) and utilities sector, particularly within Indonesia.
• Experience with government tenders and request for proposals.

• Professional work communication and reporting is conducted in the English language.
• The role requires frequent interactions with local stakeholders in some of the Southeast Asia countries and handling of documents in the local language. For effective work communication, the ability to speak, read and write Bahasa Indonesia is a requirement.
