Qualifications

• A Bachelor’s law degree with a specialization in corporate law, however Master’s is highly preferred with Bar license
• Minimum 8 years of business, sufficient statute within the organization to expert influence and credibility internal policies and guidelines
• Familiarity with corporate and local automotive industry specifically related to the sales process, manufacturing
• Experience in corporate governance issues and corporate secretarial duties
• Knowledge of local and international distribution, anti-corruption, antirust, employment, product liability and other applicable rules and regulations
• Experience in legal function, counselling of internationally operating enterprises
• Fluent in spoken and written Bahasa Indonesia and English
• Peradi (Bar License) will be preferred

Job Description:

General: Consult on Legal Matters & Conduct Legal Risk Assessments

• Review and advice of Directors/management on all legal matters/risks involved in various business deals and day-to-day operations including dealer engagement, product liability, employment law, labor relations, acquisition and assets management, lease agreements.
• Observing trends in local legislation, and implementation of required actions in the company
• Management coordination in Corporate Affair

Contracting

Negotiate, draft and review dealer/supplier agreements, other vendor contracts, service agreements, GTC, Legal letters and other transactional document and see to it that they comply with the legal norms.

Anti-trust

Support and coordinate the entity-specific implementation of the Ant-Trust Compliance Program (ATCP) requirements. This include

• Establish employee awareness of Daimler Truck’s ATCP
• Ensure ongoing, effective communication and basic training on Anti-Trust Regulation
• Channel local AT-Related consultation requests to legal Regulations & Litigation
• Locally support TL/GC and CEO/President Director in performing Anti-Trust Assessment (ATRA), if required

Representing the management to External, Law & Goverment Authorities

• Coordination of legal support through contact with lawyers where required.
• Asses legal document and ensure legal protection of the organization
• Respond to and manage matters involving local, state, and regulatory authorities.
• Implement legal strategies and ensure that a high-level of secrecy and privacy for all legal data is maintained for the organization.
• Keep track of the latest changes and law regulations.

Corporate Secretary

• Oversee the Corporate Bodies meetings (corporation’s shareholders’ meetings, Board Meetings, and Supervisory Meetings)
• Record the Decision of the Board of Directors, Business license, proxy statements, shareholders correspondence, contracts

Compliance

• Compliance to Daimler Truck AG Integrity Code
• Compliance to Daimler Truck AG Policies and Guidelines
• Compliance with Indonesian applicable laws and regulations, and other jurisdiction, if any.
